Independent Contractor Status
The Agency acts solely as an independent contractor and is not an employee, partner, or legal representative of the Client.
The Agency has no authority to enter into contracts or obligations on behalf of the Client unless expressly authorized in writing.
Limitation of Liability & Termination
Under no circumstances shall Qweenz of Queens Management LLC be liable for:
- Lost profits
- Business interruption
- Indirect damages
- Consequential damages
- Third-party claims
The Agency’s total liability shall not exceed the amount paid by client for services rendered under the applicable agreement.
Either party may terminate services by providing written notice.
The Client shall remain responsible for payment of:
- Services rendered
- Approved expenses
- Completed project phases
Upon termination, all outstanding balances become immediately due.
Professional Standards
The Agency commits to:
- Operating with integrity and professionalism.
- Delivering services consistent with industry standards.
- Providing strategic recommendations based on its 3–5 years of practical marketing management experience.
- Acting in the best interests of the Client’s business objectives.
Non-Disparagement
Both parties agree not to make false, misleading, or damaging statements regarding the other party’s business, employees, services, or reputation.
Governing Law
This Agreement shall be governed by the laws of the State of [Insert State], without regard to conflict of law principles.
